Terms and conditions.

ROJO AGENCY LLC (hereinafter "Rojo Agency", "we" or "the Agency") is a limited liability company registered in the State of Florida, United States of America, dedicated to designing and executing marketing and sales systems for businesses.

These Terms govern the use of our website, the contact and onboarding forms, and the services contracted with us. By using the site or contracting our services, you accept these Terms.

We offer digital marketing services, advertising campaign management, CRM implementation, automations, design and development of websites and custom applications. The specific scope of each project is agreed upon in the contract signed by the client during the onboarding process.

The results of our campaigns depend on multiple external factors (budget, market, quality of the client's product or service, third-party platforms). We do not guarantee specific results, but we work with dedication and transparency to reach the agreed objectives.

Services are billed as agreed in the individual contract. Unless otherwise stated, payments are monthly and in advance. Failure to pay may result in service suspension and removal of active campaigns.

External platforms (Meta Ads, Google Ads, etc.) are paid directly by the client or billed separately, as agreed.

For us to do our job well, we expect the client to: (a) provide the necessary information, access and materials within the agreed timeframes; (b) respond to questions and approvals in a timely manner; (c) operate the business legally and ethically; and (d) treat the team with respect.

The client declares that the information provided is truthful, owned by them or that they have the necessary permissions, and that the business complies with applicable regulations.

We commit to delivering work with quality, transparency and constant communication. If something is not going as expected, we tell you. If we cannot meet a deadline, we let you know in advance and propose a solution.

We keep your business information confidential and do not share it with third parties unless necessary to provide the service (for example, advertising platforms or tools such as Firebase, Stripe, GoHighLevel).

Deliverables created specifically for your business (creatives, copy, designs, CRM configurations, custom application code) become your property once the corresponding service has been paid for.

The tools, frameworks, methodologies, internal templates and reusable components we use to build those solutions remain the property of Rojo Agency. Third-party software licenses are not transferred either.

Either party may terminate the service with written notice according to the period set out in the contract. Active campaigns are wound down in an orderly manner and the client's data is delivered in exportable format.

Payments for periods already started are non-refundable, unless agreed otherwise.

Rojo Agency is not liable for indirect losses, loss of profits, reputational damage or consequences arising from changes to third-party platforms, ad account suspensions, market fluctuations or decisions made by the client outside our scope.

In any case, our maximum liability to the client is limited to the amount paid for the service during the three (3) months prior to the event giving rise to the claim.

When you sign a contract, proposal or onboarding from our website by typing the written confirmation ("ACEPTO") and your name, that electronic signature has full legal validity under the U.S. E-SIGN Act (15 U.S.C. §7001).

We may update these Terms to reflect changes in our services or in regulations. When we do, we will update the date at the top of the document. Substantial changes are communicated to active clients by email.

These Terms are governed by the laws of the State of Florida and the federal laws of the United States of America. Any dispute will be resolved before the competent courts of that jurisdiction.
